Terms of Service

1. Who we are and what these terms cover
Tendrit.ai ("Tendrit", "we", "us") provides a software platform for freight brokers and cargo owners: carrier vetting using public FMCSA records, load dispatch, live shipment tracking, and driver identity review (together, the "Service"). These Terms of Service ("Terms") are a contract between you — the company that creates an account — and Tendrit. By creating an account or using the Service you agree to these Terms.
2. Accounts and your team
You must provide accurate company and contact information. You are responsible for the activity of every user you invite to your workspace and for keeping credentials confidential. Notify us immediately at support@tendrit.ai if you suspect unauthorized access.
3. What the Service is — and is not
Tendrit helps you verify carriers and drivers and track shipments. It is a decision-support tool: you remain solely responsible for your dispatch, carrier-selection, and release decisions. Identity review is performed by your own staff comparing photos a driver submits; Tendrit does not perform automated facial recognition. Tendrit is not a broker, motor carrier, insurer, or law firm, and nothing in the Service is legal, insurance, or compliance advice.
4. Third-party data (FMCSA and others)
Carrier information (authority, insurance flags, safety data, contact details) is retrieved from public government sources, principally the FMCSA. That data may be incomplete, delayed, or wrong at the source, and we pass it through without guarantee. Always confirm critical facts independently before tendering freight.
5. Driver tracking and consent
The Service can collect a driver's GPS location and identity photos through the driver app during an active shipment. You are responsible for ensuring each driver has agreed to be tracked — the driver app presents a consent step, and tracking does not begin until the driver accepts. You agree not to use the Service to track anyone outside an active shipment or without their knowledge.
6. Acceptable use
You agree not to: misuse or attempt to bypass the Service's security; access another customer's data; use the Service to harass, stalk, or surveil individuals; upload unlawful content; resell the Service without our written agreement; or use automated means to scrape the Service. We may suspend accounts that violate this section.
7. Your data
You own the business data you put into the Service (loads, carriers, drivers, documents). You grant us the limited rights needed to operate the Service — storing, processing, and displaying that data to your team and, where you direct it, to your drivers. Our handling of personal information is described in the Privacy Policy.
8. Fees
Fees, if any, are as agreed between you and Tendrit in writing (including order forms or in-product plans). We may change pricing with at least 30 days' notice; changes apply from your next billing period.
9. Disclaimers
The Service is provided "as is" and "as available." To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted or error-free, that GPS positions are precise, or that fraud will be detected.
10. Limitation of liability
To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential, or punitive damages, or lost profits, revenue, cargo, or goodwill. Our total aggregate liability arising out of the Service is limited to the amounts you paid us in the 12 months before the claim (or USD $100 if you have paid nothing). Nothing limits liability that cannot be limited by law.
11. Termination
You may stop using the Service and close your account at any time. We may suspend or terminate the Service for material breach of these Terms that remains uncured 15 days after notice, or immediately for security or legal reasons. On termination we will, on request made within 30 days, provide an export of your business data.
12. Governing law
These Terms are governed by the laws of the State of California, without regard to its conflict-of-law rules, and disputes will be resolved in the state or federal courts located in California, which both parties consent to.
13. Changes to these Terms
We may update these Terms as the Service evolves. If a change is material we will notify account owners by email or in-product notice at least 14 days before it takes effect. Continued use after the effective date constitutes acceptance.
